It runs predominantly throughout the Washington, D.C. metropolis. Lerner Enterprises is the biggest private landowner in the Washington, D.C. area. Lerner also played a role in developing other shopping centers in the Washington region, including Tysons Corner Center and Wheaton Plaza. Lerner Corporation, a closely held corporation but not a “close corporation” within the meaning of Maryland corporation law, was formed in 1965. It had been authorized to issue ninety five shares of no-par common stock. Theodore got seventy shares, and Lawrence got twenty five shares. Theodore was president plus one of three managers. Prior to September 1983, Lawrence was secretary as well as a manager. The brothers’ relationship deteriorated, as well as in September 1983, Theodore caused Lawrence to be eliminated as an officer and manager. The Court of Appeals affirmed the trial court’s entry of a preliminary injunction. See Lerner v. Lerner, 306 Md. 771, 511 A.2d 501 (1986). Prior to trial of this case, but, the brothers entered into a settlement agreement dated October 16, 1987 (Settlement Agreement or the Arrangement). The Settlement Agreement provided that (1) Theodore would stay the chief operating officer of Lerner Corporation, (2) Lawrence would not be involved actively in Lerner Corporation but would continue for stockholder distributions, and (3) Theodore would have permission to make use of the resources of Lerner Corporation to do good for his other monetary endeavors.
